Strategic audit in the context of an acquisition project*.

Management review of a target company with a view to a capital increase by a relationship marketing services operator

Mission

  • This leader in local communications has taken a minority stake in a company over the past 3 years (strong commercial synergies, complementarity as a strategic asset).
  • Faced with the company’s declining results (sales and profitability), which were far from the initial business plan forecasts, and questioning the advisability of acquiring a stake in the company, he wanted to carry out a management review of the potential target in order to support his decision-making process.

Approach

  • A review of existing documentation and 20 interviews with the target’s operational and management teams enabled us to complete the project in a very short time (4 weeks).
  • The management diagnosis focuses on the target’s strategy and its operational implementation:
    • Strategy, product plan, business plan.
    • Customer portfolio, contracts and business.
    • Annual budget and KPIs.
    • Governance and internal decision-making.
  • Management diagnosis of target development and management :
    • Value chain (governance / decision-making).
    • Project management and documentation methods, quality assurance.
    • Critical skills and know-how, key people (assessment | retention), outsourcing.
    • Partnerships and alliances.
    • Intellectual property (patents and trademarks).
  • Definition of priorities for action, based on an analysis of the gap between the initial strategic vision and the economic reality to date, in order to correct these gaps (scale of transformation).

    Results

    • Recommendations for the evolution of the target’s operating model to the Executive Committee of our client (subsidiary of a major group).
    • Recommendations for changes in the governance of the partnership between the minority shareholder and the target (based on the history of the previous 3 years).
    • Identification of non-strategic investment areas to facilitate downsizing and strategic reorientation.
