- In order to provide itself with the means to support the development of its business, general management would like to study the possibility of creating subsidiaries.
- The aim is to determine the scope of activities that could be carried out by subsidiaries, their legal nature, and the governance and control arrangements for these subsidiaries.
Approach
- Analysis of in-house prefiguration work for subsidiaries.
- Benchmarking of the organization of public establishments that have created private-law subsidiaries to develop their activities.
- Interview with experts specializing in the legal structuring of public groups.
- Recommendations on relevant subsidiaries to be developed, their legal form, corporate purpose, governance arrangements.
Results
- Creation of 2 quasi-governed subsidiaries under private law to develop the activities of:
- Mineral resources inventory.
- Digital tools and services.
- Provision of resources and development of its subsidiaries.
